1. Program Overview

The Authenticom Refer a Company Program (“Program”) is designed to incentivize eligible participants (“Referrer”) to identify and introduce new business opportunities to Authenticom, Inc. (“Company”). By participating in the Program, you agree to comply with these Terms and Conditions in their entirety. The Program is intended to promote high-quality, relationship-driven referrals and to ensure transparency, fairness, and consistency in how referrals are evaluated and rewarded.

Participation is open to individuals and businesses approved by the Company. Referrers must be at least 18 years of age and legally capable of entering into binding agreements. The Company reserves the right to exclude employees, contractors, or partners unless explicitly authorized. Referred companies must be net-new, must not be currently engaged with the Company, and must qualify as OEMs or Vendors.

2. Eligibility

All referrals must be submitted through the Company’s official referral form and include complete and accurate information. The Referrer must identify a relevant decision-maker and describe their relationship to the referred company. By submitting a referral, you confirm that you have permission to share the provided contact information and that the Company may contact the referred party

3. Referral Process

A referral will be deemed qualified only if it is net-new, aligns with the Company’s target market, and is accepted by the Company. Referrals already in the Company’s CRM, pipeline, or active discussions will not qualify. The Company retains sole discretion in determining qualification.

4. Qualified Referral Criteria

Referrers must act in good faith and must not engage in fraudulent or deceptive practices. Prohibited activities include self-referrals, submission of false or misleading information, or attempts to manipulate the Program. Violations may result in disqualification and forfeiture of rewards.

5. Fraud Prevention and Conduct

The Program applies to all Authenticom solutions, including CX offerings, unless otherwise specified. DealerVault and any other solutions explicitly identified by the Company are excluded from eligibility

6. Eligible Solutions 

A referral incentive is earned only when a qualified referral results in a confirmed sale. This requires that the referred company enters into a binding agreement with the Company and that payment is received. All conditions must be satisfied before eligibility is established.

7. Earning Referral Incentive

Referrers will receive a one-time payment of $1,000 USD per qualified referral that results in a confirmed sale. This payment is fixed and is not influenced by deal size, revenue, or contract duration. 

8. Reward Structure

Payments will be processed within 30 to 45 days after the Company receives payment from the referred company. The Company reserves the right to delay or withhold payment in the event of disputes, verification requirements, or suspected fraud.

9. Payment Terms

Only the first valid referral submission will be eligible for compensation. Referral ownership is determined by timestamp and Company records. All determinations regarding duplicate referrals are final and binding.

10. Referral Ownership and Duplication

Each referral will be assigned a unique Referral ID and tracked within the Company’s CRM systems. Accurate tracking is required for eligibility and payment.

11. Tracking and Attribution

Referrers are responsible for any applicable taxes associated with payments received under this Program. The Company may require submission of tax documentation such as IRS Form W-9 prior to issuing payment. 

12. Taxes

Referrers must comply with all applicable laws, including data privacy and anti-spam regulations. The Company will handle all data in accordance with its privacy policies.

13. Compliance and Privacy

The Company reserves the right to modify, suspend, or terminate the Program at any time without prior notice. Continued participation constitutes acceptance of any changes.

14. Program Modifications

All decisions regarding eligibility, qualification, and payment are made at the sole discretion of the Company and are final.

15. Disputes 

The Company shall not be liable for any indirect or consequential damages. Liability is limited to the amount of referral payments issued.

16. Limitation of Liability

Participation in the Program does not create any employment, agency, or partnership relationship between the Referrer and the Company.

17. Independent Relationship

These Terms constitute the entire agreement governing the Program. The Program is non-transferable and subject to all applicable Company policies.

18. General Terms

These Terms and Conditions, and any dispute, claim, or controversy arising out of or relating to the Program, including its interpretation, enforcement, or breach, shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of laws principles. Any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in:

19. Governing Law and Venue

The parties hereby irrevocably submit to the personal jurisdiction and venue of such courts and waive any objection based on improper venue or forum non conveniens.

if subject to federal jurisdiction, the United States District Court for the Western District of Wisconsin.
